1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MAAT Systems East Africa Limited ("Company", "MAAT Systems", "we", "our", or "us"), governing your use of the AdPesa mobile application and website (the "Platform").
By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms are governed by the laws of the Republic of Kenya, including the Consumer Protection Act, 2012, the Kenya Information and Communications Act, 1998, and the Data Protection Act, 2019.
2. Eligibility
To use AdPesa, you must:
- Be at least 18 years of age
- Be a resident of Kenya
- Hold a valid Kenya National Identity Card
- Have access to an M-Pesa registered mobile number
- Not have been previously suspended or removed from the Platform
3. Account Registration
3.1. You must provide accurate, current, and complete information during registration.
3.2. You are responsible for maintaining the confidentiality of your account credentials.
3.3. You must not create multiple accounts. Each person is limited to one account.
3.4. You must promptly notify us of any unauthorised use of your account at support@maat-ea.com.
3.5. We reserve the right to suspend or terminate accounts that provide false information.
4. KYC Verification
4.1. To earn and withdraw funds, you must complete our Know Your Customer (KYC) verification process.
4.2. KYC requires submission of your Kenya National ID and completion of a liveness check (facial photo and voice verification).
4.3. We process KYC data in accordance with our Privacy Policy and the Kenya Data Protection Act, 2019.
4.4. We reserve the right to reject or revoke KYC approval if we suspect fraud, identity theft, or misrepresentation.
4.5. KYC data is retained in compliance with Kenya's anti-money laundering regulations under the Proceeds of Crime and Anti-Money Laundering Act, 2009.
5. How AdPesa Works
5.1. AdPesa connects advertisers ("Campaign Creators") with viewers ("Users"). Campaign Creators fund campaigns, and Users earn money by watching campaign content.
5.2. Earnings are credited to your AdPesa wallet after you successfully view a campaign in full.
5.3. The earning amount per campaign is determined by the Campaign Creator and displayed before you watch.
5.4. Additional earnings may be available for engaging with campaigns (likes, comments, trivia responses).
6. Earnings and Withdrawals
6.1. Earnings are accumulated in your AdPesa wallet and can be withdrawn to your registered M-Pesa number.
6.2. Withdrawals are processed via M-Pesa (Safaricom PLC) and are subject to M-Pesa's terms and conditions.
6.3. We reserve the right to set minimum withdrawal amounts, which will be displayed in the app.
6.4. Withdrawal processing times may vary but are typically completed within 24 hours.
6.5. You are solely responsible for any tax obligations arising from your earnings. Under the Kenya Income Tax Act, earnings from AdPesa may constitute taxable income. We recommend consulting the Kenya Revenue Authority (KRA) for guidance.
6.6. We reserve the right to withhold or reverse earnings if we detect fraudulent activity, including but not limited to: automated viewing, use of bots, VPN manipulation, or operating multiple accounts.
7. Acceptable Use
You agree not to:
- Use automated tools, bots, or scripts to view campaigns
- Create multiple accounts or use another person's identity
- Manipulate, circumvent, or exploit the earning system
- Upload offensive, defamatory, or illegal content in comments
- Attempt to gain unauthorised access to other users' accounts or our systems
- Use the Platform for money laundering or any activity prohibited under Kenyan law
- Reverse-engineer, decompile, or attempt to extract the source code of the Platform
- Use VPNs or location spoofing to misrepresent your location
8. Intellectual Property
8.1. The AdPesa Platform, including its design, code, content, logos, and trademarks, is the property of MAAT Systems East Africa Limited and is protected under the Kenya Copyright Act, 2001 and the Trade Marks Act (Cap. 506).
8.2. Campaign content is owned by the respective Campaign Creators. You may not download, redistribute, or commercially use campaign content.
8.3. By posting comments on the Platform, you grant us a non-exclusive, royalty-free licence to display that content within the Platform.
9. Campaign Content
9.1. Campaign content is provided by third-party advertisers. We do not endorse, verify, or guarantee the accuracy of any products, services, or claims made in campaigns.
9.2. If you believe a campaign contains misleading, harmful, or illegal content, report it through the app or email support@maat-ea.com.
9.3. Campaign availability is subject to budget limits, scheduling, and targeting criteria set by Campaign Creators.
10. Suspension and Termination
10.1. We may suspend or terminate your account at our discretion if you violate these Terms.
10.2. Upon termination for violation, any pending earnings may be forfeited.
10.3. You may delete your account at any time through the app settings. Upon deletion, we will process any pending withdrawals and then close your account.
10.4. Data retention after account deletion is governed by our Privacy Policy and applicable Kenyan law.
11. Limitation of Liability
11.1. The Platform is provided "as is" without warranties of any kind, whether express or implied.
11.2. To the maximum extent permitted under Kenyan law, Maat-ea shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.
11.3. Our total liability for any claim arising from your use of the Platform shall not exceed the total amount of earnings you have withdrawn in the 12 months preceding the claim.
11.4. We are not liable for any delays or failures in M-Pesa transactions caused by Safaricom or network issues.
12. Indemnification
You agree to indemnify and hold harmless MAAT Systems East Africa Limited, its directors, employees, and agents from any claims, losses, or damages arising from your breach of these Terms or your misuse of the Platform.
13. Dispute Resolution
13.1. Any dispute arising from these Terms shall first be resolved through good-faith negotiation.
13.2. If negotiation fails, disputes shall be referred to mediation under the Mediation Act, 2020 (Kenya).
13.3. If mediation fails, disputes shall be submitted to arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 (Cap. 49).
13.4. Nothing in this section prevents you from filing a complaint with the relevant Kenyan regulatory authority.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. The courts of Kenya shall have exclusive jurisdiction over any disputes arising from these Terms.
15. Changes to These Terms
15.1. We may update these Terms from time to time. Material changes will be communicated through the app or by email at least 14 days before taking effect.
15.2. Your continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
15.3. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.
16. Severability
If any provision of these Terms is found to be unenforceable by a Kenyan court, the remaining provisions shall continue in full force and effect.
